Terms & Conditions

The terms under which Marrowbone Counsel provides advisory services and operates this website.

Please read these terms carefully before engaging our services or using this website. They describe the basis on which we work with clients and the conditions under which this website is made available.

1. Definitions

In these Terms & Conditions, the following terms have the meanings set out below:

  • "We," "us," "our" refers to Marrowbone Counsel, a consulting practice based at 423 Phetchaburi Road, Ratchathewi, Bangkok 10400, Thailand.
  • "You," "client" refers to the individual or organisation engaging our services or using this website.
  • "Services" refers to the advisory and consulting services we provide, as described on this website and in any engagement letter.
  • "Engagement" refers to a specific consulting project entered into between you and us, confirmed in writing.
  • "Deliverables" refers to written materials, documents, or other outputs produced as part of an engagement.
  • "Agreement" refers collectively to these Terms & Conditions and any applicable engagement letter.

2. Acceptance of Terms

By using this website or engaging our services, you confirm that you have read these terms and agree to be bound by them. If you are entering into an engagement on behalf of an organisation, you represent that you have the authority to do so.

Our services are available to individuals and organisations who are at least 18 years of age and have the legal capacity to enter into binding agreements.

3. Services

Marrowbone Counsel provides three primary services: Extended Strategic Review, Leadership Writing Support, and Single Publication Preparation. Each engagement is confirmed through an engagement letter that sets out the scope, timeline, and fee.

We will make reasonable efforts to meet agreed timelines, though the duration of engagements may vary depending on the nature of the work and the collaboration required. Any material changes to scope are discussed and agreed in writing before proceeding.

We aim to be available to clients within normal working hours (Monday–Friday, 09:00–18:00 ICT) and to respond to communications within two business days.

4. Client Responsibilities

For an engagement to proceed effectively, clients are expected to:

  • Provide accurate and reasonably complete information relevant to the work
  • Engage in good faith with the process, including participating in scheduled meetings and reviews
  • Provide timely feedback at stages where it is requested
  • Not use our services for unlawful purposes or in ways that infringe the rights of others

The quality of our work depends, in part, on the information and engagement we receive. We are not responsible for outcomes that are affected by information that was withheld or inaccurate.

5. Intellectual Property

All content on this website — including text, structure, and design — is the property of Marrowbone Counsel and may not be reproduced without written permission.

Deliverables produced as part of a completed engagement are transferred to the client upon full payment of the agreed fee. Prior to full payment, all rights remain with Marrowbone Counsel.

We retain the right to reference the nature of our work — without identifying clients or disclosing confidential content — for the purposes of describing our capabilities to prospective clients.

6. Payment Terms

Fees are as set out in the engagement letter. All fees are quoted in Thai Baht (฿) and are payable by bank transfer unless an alternative arrangement is agreed in writing.

We typically request a deposit of 50% at the commencement of an engagement, with the balance due upon delivery of the final deliverable. Specific payment terms are confirmed in each engagement letter.

If you need to pause or discontinue an engagement, we ask that you discuss this with us as early as possible. Fees already incurred at the point of any discontinuation are payable in full.

In the uncommon event that we are unable to complete an engagement for reasons within our control, we will discuss an appropriate adjustment to fees with you.

7. Confidentiality

We treat all information shared by clients in the course of an engagement as confidential. We will not disclose client information to third parties without written consent, except where required by law.

This obligation of confidentiality continues after the conclusion of an engagement. We ask that clients treat our methodologies and working documents with similar discretion.

8. Disclaimers

Our services are advisory in nature. We offer analysis, perspective, and written support — not legal, financial, or regulatory advice. Clients should seek appropriate professional advice for matters in those domains.

This website is provided for information purposes and is offered "as is" without warranties of any kind. We make reasonable efforts to keep content accurate and current, but cannot warrant its completeness at all times.

Advisory work involves informed judgement, not certainty. While we work with care and bring relevant experience to every engagement, we do not make assurances about specific outcomes.

9. Limitation of Liability

To the extent permitted by Thai law, our liability for any claim arising from an engagement is limited to the fees paid for that engagement. We are not liable for indirect, consequential, or incidental losses.

Nothing in these terms limits our liability for fraud or for any matter where limitation would be unlawful.

10. Termination

Either party may bring an engagement to a close by providing written notice. Where a client terminates an engagement, fees accrued to that point are due. Where we terminate due to a material breach by the client, the same applies.

Provisions relating to confidentiality, intellectual property, payment, and limitation of liability survive the conclusion of any engagement.

11. Governing Law

These terms are governed by the laws of the Kingdom of Thailand. Any disputes that cannot be resolved informally between the parties shall be subject to the jurisdiction of the courts of Thailand.

We genuinely prefer to resolve any concerns through direct conversation before any formal process. We encourage clients to contact us first if an issue arises.

12. General Provisions

These Terms & Conditions, together with any engagement letter, represent the entire agreement between the parties on the matters they address. If any provision is found to be unenforceable, the remaining provisions continue in effect.

Our failure to enforce a particular provision on one occasion does not constitute a waiver of that provision.

We may update these terms from time to time. Material changes will be communicated by updating the date above. Continued use of our services after such changes constitutes acceptance.
